The Corporate Affairs Commission (CAC) has announced the removal of companies that failed to file their annual returns for 10 consecutive years from its registry. On July 25, the CAC revealed its plan to delist the names of dormant companies and provided a 90-day grace period for compliance. In a recent statement, the commission confirmed that companies that did not update their annual reports within the stipulated timeframe have now been stricken off the register.
“The General Public may recall that the Commission issued a Notice of Intention to strike off names of Companies which the Commission has reasonable cause to believe are not carrying on business or are otherwise dormant due to not filing Annual Returns for a period of 10 years,” the CAC stated. It clarified that a statutory 90-day period was granted for these companies to submit their annual returns and send an activation email to activation@cac.gov.ng. Companies that complied with the notice were removed from the delisting list, while those that failed to meet the requirements have now been officially struck off.
The Commission emphasized that, in accordance with its authority under Section 692(4) of the Companies and Allied Matters Act (CAMA) No. 3 of 2020, the names of defaulting companies have been removed from the register. A comprehensive list of these delisted companies is available on the Commission’s website at www.cac.gov.ng.
The CAC clarified that companies removed from its register are considered dissolved as of the publication date. It further warned that engaging in any transaction or business with a dissolved company is illegal. It was noted that of the initial 100,000 listed companies, a total of 80,429 companies (comprising five active, one without updates, and 80,423 inactive entities) have now been deemed dissolved.
